Terms of Use
Important Notice: These Terms of Use are provided in English, which is the official and binding version.
1. Introduction and Acceptance of Terms
Welcome to Handout ("we" or "our"), a product developed by Parkiosk Limited. By downloading, accessing, or using our mobile application (the "App"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, please do not use the App.
These Terms constitute a legally binding agreement between you and Parkiosk Limited, governing your access to and use of the App, including any content, functionality, and services offered on or through the App.
2. Definitions
- "User" refers to any individual who accesses or uses the App.
- "Content" means any information, text, graphics, photos, or other materials uploaded, downloaded, or appearing on the App.
- "Meetup" refers to any face-to-face meeting arranged through the App.
3. Eligibility and Account Creation
3.1 Age Requirement
You must be at least 18 years old to use Handout. By using the App, you represent and warrant that you are at least 18 years of age.
3.2 Account Creation
To use Handout, you need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
3.3 Account Security
You are responsible for safeguarding the password used to access the App and for any activities or actions under your password. You agree not to disclose your password to any third party and to immediately notify Parkiosk Limited of any unauthorized use of your account.
3.4 One Account Per User
You may not create multiple accounts or create an account for someone else without our express permission.
4. User Conduct and Prohibited Activities
You agree to use Handout in compliance with all applicable laws and regulations. Prohibited activities include, but are not limited to:
- Using the App for any illegal purpose or to promote illegal activities;
- Harassing, bullying, intimidating, or stalking other users;
- Posting or sharing obscene, pornographic, violent, or otherwise offensive content;
- Impersonating any person or entity, or falsely stating or misrepresenting your affiliation with a person or entity;
- Interfering with or disrupting the operation of the App or any servers or networks connected to the App;
- Attempting to gain unauthorized access to any portion of the App or any other systems or networks connected to the App;
- Using the App to arrange any activities that are illegal or in violation of local regulations;
- Sharing other users' personal information without their explicit consent;
- Using the App for commercial or advertising purposes without our prior written consent;
- Engaging in data mining, data harvesting, data extracting or any other similar activity in relation to the App;
- Using the App in any manner that could disable, overburden, damage, or impair the site or interfere with any other party's use of the App.
5. Content and Intellectual Property Rights
5.1 User Content
You retain all rights in the content you post on Handout. By posting content, you grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use, modify, publicly display, reproduce, and distribute such content on and through the App.
5.2 Content Responsibility
You are solely responsible for your own content and the consequences of posting or publishing it. We do not endorse any content or any opinion, recommendation, or advice expressed therein, and we expressly disclaim any and all liability in connection with user content.
5.3 Content Removal
We reserve the right to remove any content that violates these Terms or that we find objectionable for any reason, without notice.
5.4 Intellectual Property Rights
The App and its original content (excluding content provided by users), features, and functionality are and will remain the exclusive property of Parkiosk Limited and its licensors. The App is protected by copyright, trademark, and other laws of both the United States and foreign countries.
6. Privacy and Data Usage
Your use of Handout is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Our Privacy Policy details how we collect, use, and share your information. By using the App, you agree to the collection, use, and sharing of your information as detailed in our Privacy Policy.
7. User Safety and Interactions
7.1 Safety Guidelines
While Handout is designed to facilitate social connections, we cannot guarantee the conduct of any user. You agree to exercise caution and common sense when interacting with others, especially when meeting face-to-face. We strongly recommend:
- Meeting in public places
- Informing a friend or family member of your plans
- Arranging your own transportation
- Staying sober and alert
- Trusting your instincts and leaving if you feel uncomfortable
7.2 No Responsibility for User Conduct
Handout is not responsible for the conduct of any user on or off the App. You are solely responsible for your interactions with other users.
7.3 Background Checks
Handout does not conduct criminal background checks on its users.
7.4 Reporting
If you encounter any behavior that violates our terms, threatens your safety, or is otherwise concerning, please report it immediately using the App's reporting feature.
7.5 Location Services
While our App uses location services to help you connect with nearby users, you are responsible for managing your location sharing settings and understanding the risks associated with sharing your location.
8. In-App Purchases and Subscriptions
8.1 Paid Features
Handout may offer paid features or subscriptions. You agree to pay all fees and charges associated with your account on the terms described in the App or on Handout's website.
8.2 Billing
We may change our fees and charges from time to time or introduce new fees and charges, but we will provide you with prior notice of these changes by email.
8.3 No Refunds
All purchases are final and non-refundable, except at our sole discretion.
9. Termination
9.1 User Account Termination
You may terminate your account at any time by following the instructions in the App or by contacting us.
9.2 Parkiosk Limited Account Termination
We reserve the right to terminate or suspend your account and bar access to the App at our sole discretion, without notice or liability, for any reason whatsoever, including but not limited to a breach of these Terms.
9.3 Effect of Termination
Upon termination, your right to use the App will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
10. Limitation of Liability
In no event shall Parkiosk Limited, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- your access to or use of or inability to access or use the App;
- any conduct or content of any third party on the App;
- any content obtained from the App; and
- unauthorized access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage.
11. Disclaimer and Warranties
11.1 "As Is" and "As Available" Basis
Handout is provided on an "as is" and "as available" basis. Parkiosk Limited expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement.
11.2 No Guarantees
Parkiosk Limited makes no warranty that:
- the App will meet your requirements;
- the App will be uninterrupted, timely, secure or error-free;
- the results that may be obtained from the use of the App will be accurate or reliable;
- the quality of any products, services, information, or other material purchased or obtained by you through the App will meet your expectations.
12. Indemnification
You agree to defend, indemnify and hold harmless Parkiosk Limited and its licensees and licensors, and their employees, contractors, agents, officers and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:
- your use and access of the App;
- your violation of any term of these Terms;
- your violation of any third-party right, including without limitation any copyright, property, or privacy right; or
- any claim that your content caused damage to a third party.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms shall be governed and construed in accordance with the laws of Hong Kong Special Administrative Region ("Hong Kong"), without regard to its conflict of law provisions.
13.2 Arbitration
Any dispute arising out of or relating to the subject matter of these Terms shall be finally settled in Hong Kong, in English, in accordance with the Hong Kong International Arbitration Centre (HKIAC) Administered Arbitration Rules in force when the Notice of Arbitration is submitted, by one commercial arbitrator with substantial experience in resolving intellectual property and commercial contract disputes.
13.3 Class Action Waiver
Any arbitration under these Terms will take place on an individual basis; class arbitrations and class/representative/collective actions are not permitted.
14. Changes to Terms
We reserve the right to modify or replace these Terms at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our App after any revisions become effective, you agree to be bound by the revised terms.
15. Miscellaneous
15.1 Entire Agreement
These Terms constitute the entire agreement between you and Parkiosk Limited regarding the use of the App.
15.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
15.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
15.4 Assignment
You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may freely assign or transfer these Terms without restriction.
15.5 Language and Interpretation
These Terms of Use may be made available in multiple languages for your convenience. If there is any conflict or inconsistency between the English version and any other language version, the English version shall prevail. The English version is the official and binding document for all purposes.
15.6 Headings
The section titles in these Terms are for convenience only and have no legal or contractual effect.

4. 用戶行為和禁止活動
您同意遵守所有適用的法律和法規使用Handout。禁止的活動包括但不限於：
- 將應用程式用於任何非法目的或宣傳非法活動；
- 騷擾、霸凌、恐嚇或跟蹤其他用戶；
- 發布或分享淫穢、色情、暴力或其他令人反感的內容；
- 冒充任何人或實體，或虛假陳述或歪曲您與某人或實體的關係；
- 干擾或破壞應用程式的運作或與應用程式相連的任何伺服器或網路；
- 試圖未經授權存取應用程式的任何部分或與應用程式相連的任何其他系統或網路；
- 使用應用程式安排任何非法或違反當地法規的活動；
- 未經其明確同意分享其他用戶的個人資訊；
- 未經我們事先書面同意，將應用程式用於商業或廣告目的；
- 從事與應用程式有關的資料挖掘、資料收集、資料提取或任何其他類似活動；
- 以可能禁用、過度負荷、損壞或損害網站或干擾任何其他方使用應用程式的方式使用應用程式。
5.內容和智慧財產權
5.1 用戶內容
您保留在Handout上發布的內容的所有權利。透過發布內容，您授予我們非獨占、可轉讓、可再許可、免版稅、全球範圍內的許可，以在應用程式上和透過應用程式使用、修改、公開展示、複製和分發此類內容。

7.2 不對用戶行為負責
Handout不對任何用戶在應用程式內外的行為負責。您對與其他用戶的互動完全負責。
7.3 背景調查
Handout不對其用戶進行犯罪背景調查。
7.4 舉報
如果您遇到任何違反我們條款、威脅您的安全或其他令人擔憂的行為，請立即使用應用程式的舉報功能進行舉報。
7.5 位置服務
雖然我們的應用程式使用位置服務來幫助您與附近的用戶聯繫，但您有責任管理您的位置共享設定並了解與共享您的位置相關的風險。
8. 應用程式內購買和訂閱
8.1 付費功能
Handout可能提供付費功能或訂閱。您同意按照應用程式或Handout網站上描述的條款支付與您的帳戶相關的所有費用和收費。
8.2 帳單
我們可能會不時更改我們的費用和收費或引入新的費用和收費，但我們會透過電子郵件提前通知您這些變更。
8.3 不退款
除非我們自行決定，否則所有購買都是最終且不可退款。
9. 終止
9.1 用戶帳戶終止
您可以隨時按照應用程式中的說明或聯繫我們來終止您的帳戶。
9.2 Parkiosk Limited帳戶終止
我們保留權利，可以根據我們的自行決定，在不通知或承擔責任的情況下，因任何原因終止或暫停您的帳戶並禁止存取應用程式，包括但不限於違反這些條款。
9.3 終止效果
一旦終止，您使用應用程式的權利將立即停止。所有根據其性質應在終止後繼續有效的條款規定都將在終止後繼續有效，包括但不限於所有權條款、保證免責聲明、賠償和責任限制。
10. 責任限制
在任何情況下，Parkiosk Limited及其董事、員工、合作夥伴、代理人、供應商或關聯公司均不對任何間接、偶然、特殊、後果性或懲罰性損害負責，包括但不限於利潤損失、資料損失、使用損失、商譽損失或其他無形損失，這些損失源於：
- 您存取或使用或無法存取或使用應用程式；
- 應用程式上任何第三方的任何行為或內容；
- 從應用程式獲得的任何內容；以及
- 未經授權存取、使用或更改您的傳輸或內容，無論是基於保證、契約、侵權（包括疏忽）還是任何其他法律理論，無論我們是否被告知此類損害的可能性。
11. 免責聲明和保證

Handout是"按原樣"和"按可用性"提供的。Parkiosk Limited明確聲明不提供任何種類的保證，無論是明示的還是暗示的，包括但不限於適銷性、特定用途適用性和非侵權的暗示保證。

12. 賠償
您同意為Parkiosk Limited及其許可人和被許可人，以及他們的員工、承包商、代理人、高級職員和董事辯護、賠償並使其免受任何索賠、損害、義務、損失、責任、成本或債務以及費用（包括但不限於律師費）的影響，這些索賠、損害、義務、損失、責任、成本或債務以及費用源於或與以下方面有關：
- 您使用和存取應用程式；
- 您違反這些條款的任何條款；
- 您侵犯任何第三方權利，包括但不限於任何版權、財產或隱私權；或
- 任何聲稱您的內容對第三方造成損害的索賠。
13. 管轄法律和爭議解決
13.1 管轄法律
這些條款應受香港特別行政區（"香港"）法律管轄並按其解釋，不考慮其法律衝突規定。
13.2 仲裁
因這些條款的主題事項引起的或與之相關的任何爭議應最終在香港以英語解決，根據提交仲裁通知時有效的香港國際仲裁中心（HKIAC）管理仲裁規則，由一名在解決智慧財產權和商業契約爭議方面具有豐富經驗的商業仲裁員進行仲裁。
13.3 集體訴訟豁免
根據這些條款進行的任何仲裁將在個人基礎上進行；不允許集體仲裁和集體/代表/集體訴訟。
14. 條款變更
我們保留隨時修改或替換這些條款的權利。如果修訂是重大的，我們將在任何新條款生效之前至少提供30天的通知。什麼構成重大變更將由我們自行決定。在任何修訂生效後繼續存取或使用我們的應用程式，即表示您同意受修訂後的條款約束。
15. 其他
