1. Introduction and Acceptance of Terms

Welcome to Handout ("we", "our" or "us"), a product developed by Parkiosk Limited. By downloading, accessing, or using our mobile application (the "App"), you agree to be bound by these Terms of Use ("Terms").

If you do not agree to these Terms, please do not use the App.

These Terms constitute a legally binding agreement governing your access to and use of the App, including any content, functionality, and services offered.

2. Definitions

• User: Any individual who accesses or uses the App.
• Content: Any information, text, graphics, photos, or other materials uploaded, downloaded, or appearing on the App.
• Meetup: Any face-to-face meeting arranged through the App.

3. Eligibility and Account Creation

3.1 Age Requirement

You must be at least 18 years old to use Handout. By using the App, you represent and warrant that you are at least 18 years of age and legally permitted to enter into this agreement.

3.2 Account Creation

To use Handout, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Update your information promptly to maintain accuracy.

3.3 Account Security

You are responsible for safeguarding your password and agree to:

• Keep your password confidential and not share it with others.
• Notify us immediately if you detect unauthorized use of your account.

3.4 One Account Per User

Each user may create only one account.

• Creating multiple accounts or accounts for others without prior written permission is strictly prohibited.

4. User Conduct and Prohibited Activities

You agree to use Handout in compliance with all applicable laws and regulations.

Prohibited activities include, but are not limited to:

1. Using the App for illegal purposes or to promote illegal activities.
2. Harassing, bullying, intimidating, or stalking other users.
3. Posting or sharing obscene, violent, sexually explicit, or otherwise offensive content.
4. Impersonating another person, entity, or misrepresenting your identity.
5. Interfering with the App's operations or attempting unauthorized access to its systems.
6. Using the App to arrange illegal or unregulated activities, including escort services.
7. Sharing personal information of other users without their explicit consent.
8. Soliciting money, gifts, or favors from other users.
9. Using the App for advertising, spam, or commercial purposes without written consent.
10. Engaging in data mining, hacking, or other unauthorized data collection practices.
11. Using the App in any way that disrupts its functionality or causes harm to other users.

5. Content and Intellectual Property Rights

5.1 User Content

You retain ownership of the content you upload to the App. However, by uploading content, you:

• Grant us a worldwide, royalty-free, non-exclusive license to use, modify, publicly display, and distribute such content through the App.

5.2 Responsibility for Content

You are solely responsible for your content and any consequences resulting from its publication.

• We do not endorse or verify the accuracy of user content.
• We disclaim liability for any disputes, losses, or damages arising from user-generated content.

5.3 Content Removal

We reserve the right to review, monitor, or remove content at our discretion if it:

• Violates these Terms.
• Is found to be objectionable, harmful, or unlawful.

5.4 Intellectual Property

The App's design, features, and functionalities are our exclusive property and are protected under copyright, trademarks, and intellectual property laws.

6. Privacy and Data Usage

Your use of Handout is governed by our Privacy Policy, which outlines:

• How we collect, store, and use your data.
• Your rights and choices regarding your personal information.

By using the App, you consent to our data practices as described in the Privacy Policy.

7. User Safety and Interactions

7.1 Safety Guidelines

We cannot guarantee user behavior. You are responsible for your own safety and should:

1. Meet in public locations.
2. Inform a friend or family member about your plans.
3. Arrange personal transportation.
4. Avoid sharing financial information with others.
5. Trust your instincts and leave if you feel uncomfortable.

7.2 No Background Checks

We do not verify user identities or conduct background checks.

• Users assume all risks of interactions.

7.3 Fraud Prevention

Soliciting money, gifts, or favors through the App is prohibited.

• We disclaim liability for financial losses, scams, or deceptive behavior by users.

7.4 Reporting Misconduct

Users should report violations immediately using the App's tools.

We reserve the right to:

• Share user data with law enforcement for investigations.
• Suspend or block accounts suspected of illegal activities.

8. In-App Purchases and Subscriptions

8.1 Paid Features

Certain features may require payment or subscriptions.

8.2 Auto-Renewals and Cancellations

Subscriptions auto-renew unless canceled 24 hours before renewal.

9. Termination

9.1 User Account Termination

You may terminate your account at any time by following the instructions in the App or by contacting us.

9.2 Account Termination

We reserve the right to terminate or suspend your account and bar access to the App at our sole discretion, without notice or liability, for any reason, including but not limited to:

• A breach of these Terms.
• Suspicious activity or illegal behavior.

9.3 Effect of Termination

Upon termination, your right to use the App will immediately cease.

All provisions of the Terms which by their nature should survive termination shall survive termination, including but not limited to:

• Ownership provisions.
• Warranty disclaimers.
• Indemnity clauses.
• Limitations of liability.

10. Limitation of Liability

10.1 General Limitation

In no event shall us, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any:

• Indirect, incidental, special, consequential, or punitive damages, including, but not limited to:
  1. Loss of profits, data, use, goodwill, or other intangible losses.
  2. Financial harm resulting from fraud or scams.
  3. Personal injury or property damage resulting from interactions between users.

10.2 Scope of Liability

This limitation applies whether the claim is based on:

• Warranty, contract, tort (including negligence), or any other legal theory.
• Even if we have been informed of the possibility of such damage.

11. Disclaimer and Warranties

11.1 "As Is" and "As Available" Basis

The App is provided "as is" and "as available", without warranties of any kind.

11.2 No Guarantees

We expressly disclaim:

• All warranties, express or implied, including, but not limited to:
  1. Merchantability.
  2. Fitness for a particular purpose.
  3. Non-infringement.

We do not warrant that:

1. The App will meet your requirements.
2. The App will be uninterrupted, timely, secure, or error-free.
3. The results obtained from using the App will be accurate or reliable.
4. Any products, services, or information obtained through the App will meet your expectations.

12. Indemnification

12.1 User Obligations

You agree to defend, indemnify, and hold harmless us and its affiliates, officers, directors, employees, contractors, agents, and partners from and against any and all:

• Claims, damages, obligations, losses, liabilities, costs, or expenses (including attorney's fees) arising out of:
  1. Your use and access of the App.
  2. Your violation of any provision of these Terms.
  3. Your violation of any third-party rights, including copyright, privacy, or property rights.
  4. Any claim that your content caused damage to a third party.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Hong Kong Special Administrative Region ("Hong Kong"), without regard to its conflict of law provisions.

13.2 Arbitration

Any dispute arising out of or relating to these Terms shall be finally settled in Hong Kong, in English, under the Hong Kong International Arbitration Centre (HKIAC) Administered Arbitration Rules.

Arbitration shall be conducted by:

• One commercial arbitrator with substantial experience in intellectual property and contract disputes.

13.3 Class Action Waiver

All disputes will take place on an individual basis.

• Class arbitrations and class/representative/collective actions are not permitted.

14. Changes to Terms

14.1 Right to Modify

We reserve the right to modify or replace these Terms at any time.

14.2 Notice of Changes

If a revision is material, we will provide at least 30 days' notice prior to the new terms taking effect.

14.3 User Agreement

By continuing to access or use our App after any revisions become effective, you agree to be bound by the revised terms.

15. Miscellaneous

15.1 Entire Agreement

These Terms constitute the entire agreement between you and us regarding the use of the App.

15.2 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining Terms will remain in full force and effect.

15.3 Waiver

Failure to enforce any right or provision of these Terms does not constitute a waiver of those rights.

15.4 Assignment

You may not assign or transfer these Terms without prior written consent.

• We may freely assign or transfer these Terms without restriction.

15.5 Language and Interpretation

If these Terms are available in multiple languages, the English version shall prevail in the event of any conflict or inconsistency.

3.2 帳號創建

要使用 Handout，您必須創建帳號。您同意：

• 在註冊期間提供準確、最新且完整的資訊。
• 及時更新您的資訊以保持準確性。

3.3 帳號安全性

您需負責保護您的密碼，並同意：

• 保持密碼機密，不與他人共享。
• 若發現帳號未經授權使用，請立即通知我們。

3.4 每位用戶僅限一個帳號

每位用戶只能創建一個帳號。

• 未經書面許可，嚴禁創建多個帳號或為他人創建帳號。

4. 用戶行為與禁止活動

您同意遵守所有適用法律和規定使用 Handout。

禁止活動包括但不限於：

• 用於非法目的或推廣非法活動。
• 騷擾、霸凌、威脅或跟蹤其他用戶。
• 發佈或分享猥褻、暴力、色情或其他令人反感的內容。
• 冒充他人或誤導身分資訊。
• 干擾應用程式操作或試圖未經授權存取系統。
• 使用應用程式安排非法或未受管制的活動，包括伴遊服務。
• 未經他人同意分享其他用戶的個人資訊。
• 向其他用戶索取金錢、禮物或恩惠。
• 未經書面許可，用於廣告、垃圾郵件或商業用途。
• 從事數據挖掘、駭客攻擊或其他未經授權的數據收集行為。
• 使用應用程式以任何方式中斷功能或損害其他用戶。

5. 內容與智慧財產權

5.1 用戶內容

您保留上傳至應用程式內容的所有權。然而，您授予我們全球性的免版稅、非專屬許可，以使用、修改、公開展示和分發該內容。

5.2 內容責任

您需自行負責您的內容及其後果。

• 我們不支持或驗證用戶內容的準確性。
• 我們對任何爭議、損失或損害概不負責。

5.3 內容移除

我們保留審查、監控或移除違反條款或令人反感內容的權利。

5.4 智慧財產權

應用程式的設計、功能和特點屬於我們的專屬財產，並受版權、商標和智慧財產權保護。

6. 隱私與數據使用

您的使用受我們的隱私政策約束，其中概述：

• 我們如何收集、存儲和使用您的數據。
• 您對個人資訊的權利與選擇。

使用應用程式即表示您同意我們的數據處理方式。

7. 用戶安全與互動

7.1 安全指引

我們無法保證用戶行為。您需自行確保安全：

• 在公共場所見面。
• 通知朋友或家人您的計劃。
• 安排個人交通工具。
• 避免與他人分享財務資訊。
• 若感到不安，請信任直覺並立即離開。

7.2 無背景調查

我們不驗證用戶身份或進行背景調查。

• 用戶自行承擔互動風險。

7.3 防詐騙

• 禁止透過應用程式索取金錢、禮物或恩惠。
• 我們對財務損失或欺詐行為概不負責。

7.4 舉報不當行為

用戶應立即舉報違規行為，我們保留：

• 向執法機構提供用戶資料。
• 暫停或封鎖涉嫌非法活動的帳號。

8. 應用內購買與訂閱

8.1 付費功能

部分功能可能需要付款或訂閱。

8.2 自動續訂與取消

訂閱將自動續訂，除非在續訂前 24 小時取消。

9. 終止

9.1 用戶帳號終止

您可以隨時按照應用程式中的指示或聯繫我們來終止您的帳號。

9.2 帳號終止

我們保留自行決定終止或暫停您的帳號並禁止您存取應用程式的權利，且無需事先通知或承擔責任，理由包括但不限於：

• 違反這些條款。
• 可疑活動或非法行為。

9.3 終止的影響

帳號終止後，您使用應用程式的權利將立即終止。

以下條款的內容在終止後仍將持續有效，包括但不限於：

• 所有權條款。
• 免責聲明。
• 賠償條款。
• 責任限制。

10. 責任限制

10.1 一般責任限制

在任何情況下，我們及其董事、員工、合作夥伴、代理人、供應商或關聯公司均不對以下情況負責：

• 間接性、偶然性、特殊性、後果性或懲罰性損害，包括但不限於：
• 利潤、數據、使用、商譽或其他無形損失。
• 由詐騙或詐欺行為造成的財務損失。
• 用戶之間互動導致的人身傷害或財產損害。

10.2 責任範圍

此責任限制適用於以下情況：

• 根據保證、合約、侵權行為（包括過失）或任何其他法律理論提出的索賠。
• 即使我們已被告知可能發生此類損害的情況。

11. 免責聲明與保證

11.1 "按現狀"和"按可用性"提供

本應用程式按"現狀"和"按可用性"提供，不作任何保證。

11.2 無保證條款

我們明確聲明不提供以下明示或暗示的所有保證：

• 商品適銷性保證。

12. 賠償

12.1 用戶義務

您同意為我們及其關聯公司、主管、董事、員工、承包商、代理人和合作夥伴提供辯護、賠償並使其免受以下損失：

• 因您使用或存取應用程式而引發的索賠、損害、義務、損失、責任、成本或費用（包括律師費）。
• 因您違反這些條款而產生的責任。
• 因您侵犯任何第三方的權利（包括版權、隱私或財產權）而產生的責任。
• 因您上傳的內容對第三方造成損害的索賠。

13. 準據法與爭議解決

13.1 準據法

這些條款應受香港特別行政區（"香港"）的法律管轄和解釋，而不考慮法律衝突條款。

13.2 仲裁

任何因這些條款引起或與之相關的爭議，應在香港通過香港國際仲裁中心（HKIAC）依其管理規則最終解決，並以英文進行仲裁。

仲裁應由：

• 一名具有智慧財產權和合約爭議經驗的商業仲裁員主持。

13.3 集體訴訟豁免

所有爭議均應以個人為單位進行解決。

• 不允許集體仲裁和集體/代表/集合行動。

14. 條款變更

14.1 修改權利

我們保留隨時修改或更換這些條款的權利。

14.2 變更通知

如果修訂屬於重大變更，我們將在新條款生效前至少提前 30 天通知您。

14.3 用戶同意

在任何修訂生效後繼續存取或使用應用程式，即表示您同意受更新條款的約束。

15. 其他條款

15.1 完整協議

這些條款構成您與我們之間關於應用程式使用的完整協議。

15.2 可分割性

若這些條款的任何條款被認定為不可執行或無效，則該條款將被限制或刪除至最低程度，以確保剩餘條款繼續有效。

15.3 棄權條款

未執行這些條款中的任何權利或條款不應視為放棄該權利或條款。

15.4 轉讓

您不得在未經事先書面同意的情況下轉讓或轉移這些條款。

• 我們可自由轉讓或轉移這些條款，且不受限制。

15.5 語言與解釋

若條款提供多種語言版本，如有衝突或不一致，則以英文版本為準。
